What is 99 Datarooms?
99 Data Rooms is a UK-hosted Virtual Data Room platform for sharing and managing sensitive transaction documents. It provides browser-based document access, link-level controls, diligence questions and answers, engagement reporting, contract tracking, electronic signatures, and legal-document drafting for founders, advisers, law firms, accountants, property teams, and small and midsize businesses.
Key Capabilities
- Secure document sharing: Documents are organized into rooms and folders and shared through controlled links. Link controls include email verification, one-time codes, passcodes, expiration rules, maximum-view limits, and session revocation.
- Viewer protections: Higher service tiers add nondisclosure-agreement acceptance, viewer-specific watermarks, print and context-menu restrictions, tab-switch blurring, and permanent text redaction. These controls deter unauthorized sharing but do not constitute digital rights management (DRM).
- Diligence Q&A and analytics: Users can raise questions against individual documents and retain threaded responses as an auditable diligence record. Reporting includes page-level dwell time and completion data, segmented by viewer identity, location, and device.
- Electronic signing: Electronic Signature features assign signature, text, and date fields by signer; support sequential signing; and create an audit certificate with signer IP address, intent confirmation, timestamps, and a Secure Hash Algorithm 256-bit (SHA-256) fingerprint of the executed file.
- Contract tracking: Contract Management functions register executed agreements, track expirations and renewal warnings, and automatically add documents signed in the platform to the contract register.
- Legal-document drafting: The platform assembles England-and-Wales legal documents from fixed, professionally reviewed clauses in response to plain-English prompts. It populates selected clauses rather than generating legal terms with a language model.
- Controlled agent access: A read-only Model Context Protocol (MCP) server answers product questions from source material. Higher tiers can connect an assistant to selected rooms under inherited, revocable permissions, with separate read and write access and action logging.

- Backups: Encrypted, off-site nightly backups.
- Limitations: Legal drafting covers England and Wales only and is not legal advice. Macro-enabled and legacy binary Microsoft Office formats are unsupported; single sign-on and Security Assertion Markup Language (SAML) support are not currently available.
