Overall Satisfaction with Datasite Diligence Virtual Data Room

I am a lawyer and work in M&A. We use data rooms in order to organize due diligence documents to review the target company and assess concerns and risk. The Datasite Diligence Virtual Data Room is a helpful tool to collect the documents in folders and provides a Q&A tool for the parties to clarify information in the data room.

Pros

  • Datasite has a Q&A function, which is helpful for parties to quickly request information and task others with responses.
  • The datasite has a New Uploads section, which is helpful for identifying the newest items uploaded throughout the data room and notating the time of upload.

Cons

  • Datasite provides the timestamp on documents for when they have become available to that particular user as opposed to a timestamp of when they were actually uploaded. When new users are added to a data room, they are unaware of when the documents were uploaded but only see that the documents became available on the date they were added to the data room. This is problematic when trying to determine certain information and recommend including the original timestamp.
  • Our clients, who are business owners, normally pay for the Datasite usage, or the investment bankers coordinate for access.
It is functional and easy to use but lacks a timestamp, and some items require downloading instead of a preview option.
Datasite is more optional than most other data rooms and is simpler to use.

Yes

Datasite is well suited for organizing large quantities of a variety of documents into folders. It is not as well suited for Xcel, which generally requires downloading in order to review, but there are quick preview options for Word and PDF items.
