Overall Satisfaction with Datasite Diligence Virtual Data Room

I am an investment banking analyst, and I use Datasite for sell-side, buy-side, and capital raise (both debt and equity) transactions. I control the VDR by uploading materials, controlling access for parties, adding and removing parties, and using it for redaction. Overall, I use it the way most other banking analysts do.

Pros

  • Permissioning individual groups is super easy and intuitive.
  • Redaction
  • Adding emails with other text involved, so I don't have to just go down to the email.

Cons

  • While redaction is good, it is awful for tax returns.
  • It can be prolonged to upload files.
  • It is hard to understand how much space is being used.
  • Faster workflow for adding members to VDR.
  • Faster workflow for assembling a VDR.
  • Enhanced ability to see people's analytics in the VDR.
It's very intuitive, and I can see people getting up to speed quickly. There does need to be a client mode where they can have all of the access of a project admin (prep folders, etc.) except not post anything to external parties, as I've had clients do that, and it was very dangerous. However, we need them to see the Sandbox.
Datasite is far superior in UX and usability. It is also much faster. Overall, it is a far better solution. I can't think of anything that DFIN does better.

It is perfect for transactions (capital raising, M&A, etc.), prepping the VDR, and then running it. The places where it is less appropriate are for video or other multimedia because they are so expensive. It's the same thing if I am late into confirmatory. I no longer have permission, so it is just data storage, but the price remains the same.

30 - We are an investment bank, so all of them are bankers ranging from Analyst - MD with the Analysts having the heaviest usage and the MDs having the lowest, however, everyone likes Datasite the most.

It is my go to data room provider and I am super comfortable using it. I don't think I would want to use anything else since I can't trust them like I can trust Datasite
